Part A — Terms of Use

A1. Permitted Use

The Site and its contents are provided solely for the purpose of evaluating a potential investment in Ra2yee or engaging in business discussions with Ra2yee's founders. You agree to use the Site only for this purpose and in accordance with applicable law.

A2. Access Credentials

Access codes, tokens, and links provided to you are personal and non-transferable. You agree not to share, forward, or otherwise make accessible any credentials, links, or tokens to any other party. Ra2yee may revoke access at any time, with or without notice, at its sole discretion.

A3. No Investment Advice

Materials on the Site are provided for informational purposes only and do not constitute an offer to sell, a solicitation to buy, or investment advice. Any decision to invest is the sole responsibility of the investor and should be made only after independent due diligence and consultation with qualified advisors.

A4. Forward-Looking Statements

The Site may contain forward-looking statements, including projections, forecasts, and expected milestones. Such statements involve risks and uncertainties, and actual results may differ materially. Ra2yee makes no representation or warranty regarding the accuracy of forward-looking information and is under no obligation to update such statements.

A5. Intellectual Property

All content on the Site — including text, graphics, logos, branding, methodology descriptions, and code — is the property of Ra2yee, The Consultants MEA, or its licensors, and is protected by applicable intellectual property laws. You are granted no license or rights to reproduce, republish, or commercially exploit any of the content.

A6. No Warranties

The Site and its contents are provided "as is" without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, or fitness for a particular purpose. Ra2yee disclaims all liability for errors, omissions, or interruptions in service to the maximum extent permitted by law.

A7. Limitation of Liability

To the maximum extent permitted by applicable law, Ra2yee, The Consultants MEA, and their founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site.

Part B — Privacy Policy

B1. What We Collect

When you access the Site or request deep-dive access, Ra2yee collects the following information:

• The email address you provide
• Your name, company, and role (for deep-dive requests)
• Your IP address and browser user-agent string
• The date and time of your visit and any form submissions
• Your acceptance of the NDA and these Terms

B2. How We Use It

We use the information we collect only for the following purposes:

• To verify that access requests come from legitimate business sources
• To issue and validate single-use access links
• To maintain a record of who has reviewed confidential materials under the NDA
• To communicate with you regarding your interest in Ra2yee
• To detect and prevent unauthorized access or misuse of the Site

B3. What We Do Not Do

We do not:

• Sell, rent, or trade your information to any third party
• Access your email contacts, calendar, or any data outside what you voluntarily provide
• Use your information for marketing purposes unrelated to the investment discussion
• Subscribe you to newsletters or promotional content without consent
• Store your information indefinitely — see retention below

B4. Third-Party Services

We use the following third-party services, each of which handles your data under their own published privacy policies:

• Mailgun — for sending the deep-dive access link to your email
• Our web host — for operating the Site and storing the access log

We do not use third-party analytics, advertising trackers, or social-media pixels on the investor portion of the Site.

B5. Data Retention

Access logs, including email addresses and visit records, are retained for up to five (5) years to support the enforcement of the NDA and for ordinary business record-keeping. After this period, records are deleted or anonymized. If you wish your record to be deleted sooner, you may contact us at hello@ra2yee.com.

B6. Your Rights

Subject to applicable law, you may request to:

• Access a copy of the personal information we hold about you
• Correct any inaccurate or incomplete information
• Delete your records (subject to our right to retain information for legal, regulatory, or NDA-enforcement purposes)
• Withdraw consent and revoke your access at any time

B7. Security

We take reasonable technical and organizational measures to protect your information, including encrypted transmission (HTTPS), access controls, and secure server configuration. However, no system is perfectly secure, and we cannot guarantee absolute security. You are responsible for keeping your access credentials confidential.

B8. Children

The Site is intended for business and investment purposes and is not directed to individuals under eighteen (18) years of age. We do not knowingly collect information from minors.

B9. Changes to This Policy

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the latest version. Material changes will be communicated to active investors.

Part C — General Terms

C1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt.
